Digital Download Library User Agreement

1. USER AGREEMENT

All photographs, videos and other digital media in National Cycle's/ZTechnik's Digital Download Libraries may be downloaded and republished free of charge for the sole purpose of representing the COMPANY and all COMPANY products for sale within agreed-upon terms and territories.

2. COMPANY’S CONFIDENTIAL INFORMATION AND RIGHTS

Dealers/distributors are authorized to use COMPANY trademarks, product images and all materials in the Digital Download Library in connection with dealer's or distributor's advertisements, promotions and sales of the COMPANY products. Dealer or distributor acknowledges that the COMPANY owns and retains all trademarks, copyrights and other proprietary rights in the Digital Download Libraries, and agrees that it will not at any time during or after the termination of this agreement seek to register any trademark, trade names, copyrights or other proprietary rights or assert or claim any interest therein or take any actions which may adversely affect the validity or enforceability of any trademark, trade name, or copyright belonging to or licensed to the COMPANY.

Dealer/distributor agrees to use reasonable efforts to protect the COMPANY's proprietary rights and to cooperate in the COMPANY's efforts to protect its proprietary rights. Dealer/distributor agrees to notify the COMPANY of any known or suspected breach of the COMPANY's proprietary rights and to cooperate with the COMPANY without making any charge therefore in any action by the COMPANY to investigate or remedy an infringement of such rights.

3. USE OF ALL DIGITAL DOWNLOAD LIBRARY FILES SUBJECT TO THE FOLLOWING CONDITIONS:

A. In all cases, credit for the photographs, videos and other digital media must be given to the copyright owner, National Cycle Inc.

B. Where the copyright owner's name is not included within the photographs, videos and other digital media, it may be omitted.

C. The photographs, videos and other digital media may not be materially altered. They may be resized, cropped or color corrected, provided that their editorial integrity is not compromised, but may not, under any circumstances, otherwise be rotated, altered, changed or tampered with, either manually or electronically, without the express permission of the COMPANY.

4. IN ORDER TO MAKE USE OF THESE ASSETS FREE OF CHARGE, DEALERS/DISTRIBUTORS MUST:

A. Acknowledge that all copyrights in the photographs, videos and other digital media from the COMPANY's Digital Download Libraries rest in the COMPANY and may not be sold or assigned.

B. Acknowledge the COMPANY as the copyright owner and source of the photographs, videos and other digital media.

C. Acknowledge that the COMPANY's photographs, videos and other digital media may not be used for unauthorized promotional, advertising or merchandising use.

D. Agree to all terms and conditions set forth in the COMPANY's Terms of Use statement.
